Terms of Service

Welcome to LifeLink ("we," "our," or "us"). LifeLink provides a comprehensive medical records management and healthcare coordination platform operating in Canada. These Terms of Service ("Terms") govern your access to and use of our platform, including our website, mobile applications, and related services (collectively, the "Services").

By creating an account or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

• "Patient" means an individual who uses our platform to access, organize, or share their medical records.
• "Healthcare Provider" means doctors, nurses, receptionists, and administrative staff who use our platform to provide healthcare services.
• "Hospital" or "Clinic" means healthcare facilities that have partnered with LifeLink to use our platform.
• "PHI" means Personal Health Information as defined under applicable Canadian privacy laws.
• "Platform" means the LifeLink software, website, and mobile applications.

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your province of residence
• Have a valid Canadian health card number (or be a guardian of someone who does)
• Provide accurate and complete registration information
• Not be prohibited from using the Services under Canadian law

For users under 18, a parent or legal guardian must create and manage the account on their behalf.

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You are solely responsible for maintaining the confidentiality of your account credentials.

Our collection, use, and disclosure of your personal and health information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key Privacy Commitments:

• We will only collect health information necessary to provide our Services
• Your PHI will only be accessible to authorized healthcare providers involved in your care
• We use industry-standard encryption to protect your data
• You have the right to access, correct, and request deletion of your personal information
• We will not sell your personal or health information to third parties

Permitted Uses:

• Connecting approved clinics and healthcare providers to aggregate your records
• Accessing, reviewing, and organizing your medical documentation
• Downloading or sharing records with individuals or providers you authorize
• Managing personal health information, preferences, and permissions
• Receiving notifications about record availability or system updates

Prohibited Uses:

You agree NOT to:

• Use the Services for any illegal purpose
• Impersonate another person or provide false information
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Services or servers
• Upload viruses, malware, or malicious code
• Scrape, crawl, or use automated systems to access the Services
• Violate any applicable laws, regulations, or professional standards
• Use the Services to provide medical advice or diagnosis (patients)

• Not a Substitute for Medical Care: Our Services are not a substitute for professional medical advice, diagnosis, or treatment.
• Emergency Situations: Do not use LifeLink for medical emergencies. Call 911 or go to the nearest emergency room.
• Healthcare Provider Responsibility: All medical decisions and care are the responsibility of your healthcare providers.
• Information Accuracy: While we strive for accuracy, we do not guarantee that medical records are error-free. Always verify critical information with your healthcare provider.

Healthcare providers using LifeLink agree to:

• Maintain current professional licensure and credentials
• Comply with all applicable professional standards and regulations
• Use the platform only for legitimate healthcare purposes
• Maintain patient confidentiality in accordance with applicable laws
• Not share account credentials with unauthorized individuals
• Report any suspected data breaches or security incidents immediately
• Ensure accuracy of information entered into patient records

• Authorization: You control who can access, download, or receive your records through the platform.
• Expiration: Time-limited share links automatically expire and must be regenerated if continued access is required.
• Revocation: You may revoke access to shared records at any time; revocations take effect immediately.
• Record Accuracy: Healthcare facilities remain responsible for the accuracy of records they contribute.

• Patient Use: LifeLink is free for patients. Healthcare services are billed according to provincial health insurance plans or facility fee schedules.
• Healthcare Facilities: Facilities pay subscription fees for platform access as outlined in separate service agreements.
• Third-Party Services: Some features may integrate with third-party services that charge separate fees.

The LifeLink platform, including all software, designs, text, graphics, logos, and other content, is owned by LifeLink and protected by Canadian and international copyright, trademark, and other intellectual property laws.

Your Content:

• You retain ownership of any content you submit to the platform
• You grant us a license to use your content solely to provide our Services
• Healthcare providers retain ownership of medical documentation they create

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless LifeLink, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights
• Any content you submit to the platform

Your Rights:

• You may close your account at any time by contacting us
• Medical records will be retained as required by law, even after account closure

Our Rights:

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Pose a security risk to the platform or other users
• Fail to comply with applicable laws

Effect of Termination:

• Your access to the Services will cease immediately
• We will retain data as required by law and our legal obligations
• Provisions that should survive termination will remain in effect

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Services shall be resolved through:

1. Negotiation: Good faith discussions between the parties
2. Mediation: If negotiation fails, non-binding mediation in Ontario
3. Litigation: If mediation fails, courts of Ontario have exclusive jurisdiction

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email or through the platform
• Provide at least 30 days' notice before material changes take effect

Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LifeLink.
• Severability: If any provision is found invalid, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign them to any successor entity.
• No Agency: No agency, partnership, or employment relationship is created by these Terms.
• Language: These Terms are available in English and French. In case of conflict, the English version prevails.
